issue managers, independent financial/nominated advisors (IFAs
or NOMADS) & trustees for all types of equity and debt-related
work.
We advise on the Singapore's Securities & Futures Act,
Financial Advisers Act and other securities and futures related
laws and regulations. We also offer services in connection

We have advised in the structuring and documentation of financial
products and trust schemes for a variety of transactions,
including power & coal gas supply projects, piping &
infrastructure construction projects, water treatment plants,
land acquisitions, industrial park development as well as
commercial & residential property development projects.
Our work includes advising on proper corporate planning &
governance, regulatory and legal documentation.
Some of our recent projects include: advising on a Lease
Management Solution Proposal for major landlords and developers
in Singapore in collaboration with a Business Process Outsourcing
(BPO) company; advising a major Japanese financial institution
in Singapore towards developing new financial trust products;
facilitating offshore investment into the China market by
an overseas arm of a KLSE-listed public company; acting in
the acquisitions by Singapore and HKSE public-listed companies
in operating assets like coal and gas plants in China and
the procurement of land use rights for property development
projects in Nanning, Guangxi Province, China; advising a Singapore
company investing in a waste treatment plant in Ho Chi Minh
City, Vietnam on a Build-Operate-Transfer basis; advising
and acting for local and foreign companies in private share
placements, convertible securities, rights issues; and advising
on a corporate rescue of a wholly-owned subsidiary of a mainboard
public-listed company in Singapore and procuring High Court
approval of a Scheme of Arrangement in connection thereto.
The firm works closely with a team of corporate finance professionals
and intermediaries to explore and offer innovative corporate
solutions to achieve our clients’ corporate objectives.
The team has extensive experience in Corporate Governance
matters as well as the functions of Audit, Nomination and
